Affiliate Marketing Program Terms and Conditions for Brick LLC

Introduction

Welcome to the Brick LLC Affiliate Marketing Program (“Affiliated Program”), powered by Social Snowball. This program is designed to reward our valued affiliates for referring new customers to our products and services. By applying for, enrolling in, using any referral link or code, or continuing to participate in this Affiliate Program, you agree to comply with these Terms and Conditions. Please read them carefully.

Eligibility

  1. To be eligible for participation in the Brick LLC Affiliate Program, applicants must be 18 years or older and have an active and valid method of payment reception.
  2. Brick LLC reserves the right to approve, reject, suspend, or remove any affiliate or applicant from the Affiliate Program at its sole discretion. Brick LLC may also require additional information from an applicant or existing affiliate before granting approval or allowing continued participation.

Program Participation

  1. Affiliates will receive a unique referral code and/or link to share with potential new customers. Affiliates must use only the referral links and codes assigned to them by Brick LLC and may not alter, modify, obscure, or otherwise tamper with those links, codes, or any associated tracking parameters.
  2. Commissions are earned on qualifying sales that are directly attributable to the affiliate's referral code or link.
  3. Affiliates are responsible for ensuring their referral methods comply with all applicable laws and regulations.
  4. Upon written request, Affiliates must accurately identify to Brick LLC all websites, domains, social media accounts, paid channels, email lists, and other traffic sources through which they will use Brick LLC referral links, codes, or promotional materials.

Commission and Payments

  1. Commission rates are subject to change at Brick LLC's discretion. Affiliates will be notified of any changes.
  2. Payments of commissions are contingent upon the collection of funds from the referred customer. Returned or canceled sales will result in the deduction of the corresponding commission from the affiliate's balance.
  3. All commissions are subject to review and verification by Brick LLC. Brick LLC may delay, withhold, void, reverse, or forfeit any commissions associated with fraud, invalid traffic, tracking manipulation, returned, canceled, or refunded orders, chargebacks, breach of these Terms, or conduct that Brick LLC determines is inconsistent with the integrity and purpose of the Affiliate Program. Commissions that have already been paid but are subsequently determined to be invalid may be offset against future commissions or, at Brick LLC's election, repaid by the affiliate upon request. Brick LLC may withhold commissions pending the completion of any investigation.   4. Commissions deemed to be earned through fraudulent, illegal, overly aggressive or questionable sales or marketing methods, or through any conduct prohibited by these Terms, will be voided and forfeited.
  5. Brick LLC reserves the right to withhold or delay payment of commissions pending an investigation of any suspected breach of these Terms.

Coupon and Deal Sites

  1. Posting, submitting, authorizing, encouraging, or knowingly allowing affiliate codes or referral links to appear on coupon websites, deal sites, or similar platforms (such as CouponBird and Honey) is strictly prohibited. Affiliates found to be sharing or allowing their codes to be posted on such sites will be subject to immediate termination from the program and forfeiture of any pending commissions.
  2. Affiliates are encouraged to report any unauthorized use of their codes to Brick LLC for investigation.

Paid Search & Keyword Restrictions

Affiliates are strictly prohibited from engaging in brand bidding or bidding on any branded keywords, including but not limited to “Brick,” “Brick App,” or any misspellings or variations thereof, on search engines or paid advertising platforms. Affiliates may not use direct linking from paid search advertisements to Brick LLC websites or landing pages. Additionally, affiliates are prohibited from passing or utilizing Google Click Identifier parameters (“gclid”) or any similar tracking parameters in connection with paid search traffic directed to Brick LLC. Any violation of this policy may result in immediate termination from the Affiliate Program and forfeiture of unpaid commissions.

Tracking Manipulation & Attribution Abuse

Affiliates are prohibited from manipulating, spoofing, injecting, overwriting, masking, simulating, or otherwise interfering with any tracking link, referral code, cookie, pixel, click identifier, conversion event, referrer, URL parameter, Google Click Identifier (gclid), Microsoft Click ID (msclkid), UTM parameter, or any other attribution signal used by Brick LLC or its affiliate platform. Prohibited conduct includes, without limitation, cookie stuffing, forced clicks, hidden frames or iframes, link cloaking, fake redirects, last-click hijacking, unauthorized retargeting, and any other method that causes Brick LLC or its affiliate tracking platform to attribute a sale or lead to an affiliate where that affiliate did not generate the customer's genuine and intentional click or referral. Any violation of this section may result in voiding of affected commissions, clawback of paid commissions, suspension, termination, and forfeiture of all pending commissions. 

Bots, Fake Conversions, and Invalid Traffic

All referrals must be generated through genuine, voluntary actions by real, intended human consumers. Affiliates are prohibited from using bots, scripts, automated tools, click farms, paid-to-click traffic services, fake accounts, fake leads, hidden frames or iframes, incentivized clicks that are not clearly disclosed, forced redirects, malware, browser extensions, adware, or any other artificial or deceptive method to generate clicks, leads, conversions, or commissions. Any traffic, conversion, or commission that Brick LLC determines to be invalid, artificial, or generated by prohibited means will be voided, and previously paid commissions attributable to such conduct may be clawed back or offset.

Intellectual Property

  1. Affiliates may not alter any brand assets provided by Brick LLC without prior written consent.
  2. All promotional materials, including but not limited to images, logos, and slogans, must be used in a manner that is respectful and consistent with Brick LLC's brand guidelines.

Marketing Claims

Affiliates may only make truthful, accurate, and substantiated claims about Brick LLC and its products. Affiliates may not make any claims that are inconsistent with Brick LLC's current website, product pages, approved marketing materials, or written instructions provided by Brick LLC. Affiliates may not misstate or misrepresent their relationship with Brick LLC.

Required Affiliate Disclosures

Affiliates must clearly and conspicuously disclose their affiliate relationship with Brick LLC wherever they promote Brick LLC, use a referral link or code, publish a referral code, review Brick LLC products, or make any endorsement that may result in compensation. An acceptable example disclosure is: "Disclosure: I am a Brick affiliate and may earn a commission if you purchase through my link." Disclosures must be placed where consumers are likely to see them before clicking or making a purchase. Disclosures may not be hidden in website footers, terms pages, link labels, small print, or any other location where consumers are unlikely to notice them before taking action.

Termination

  1. Either party may terminate the affiliate relationship at any time without written notice. In addition to termination, Brick LLC expressly reserves the right to, at any time and without prior notice: (a) suspend an affiliate's participation; (b) deactivate any referral links or codes; (c) block or reject traffic from any traffic source; (d) withhold or delay payment of commissions; (e) require the removal of any content that violates these Terms or Brick LLC's brand guidelines; and (f) permanently ban an affiliate from re-enrolling in the Affiliate Program. Brick LLC may exercise any or all of these remedies if it suspects or determines that an affiliate has engaged in fraud, invalid traffic generation, tracking manipulation, disclosure violations, or any other breach of these Terms.
  2. Upon termination, the affiliate must cease all use of Brick LLC branding, promotional materials, and referral links or codes.

Limitation of Liability

Brick LLC will not be liable for indirect, special, or consequential damages, or any loss of revenue, profits, or data arising in connection with this Agreement or the Affiliate Program, even if we have been advised of the possibility of such damages. In no event will Brick LLC's aggregate liability to an affiliate under or in connection with this Agreement exceed the total amount of commissions properly earned by and unpaid to that affiliate during the twelve (12) months immediately preceding the event giving rise to the claim. Brick LLC is not liable for any interruption or unavailability of affiliate tools or platforms, tracking interruptions or failures, cookie deletion or blocking, platform errors, or attribution disputes arising from circumstances outside Brick LLC's reasonable control. 

Monitoring and Cooperation

Brick LLC reserves the right to monitor affiliate activity, traffic sources, advertisements, websites, content, keywords, referral links, conversion patterns, and compliance with these Terms at any time and by any lawful means. Upon Brick LLC's request, affiliates must promptly provide reasonable records and information to assist in any such review, including without limitation ad screenshots, keyword lists, campaign settings, negative keyword configurations, traffic-source reports, referrer data, domain registrations, social media posts, email samples, and documentation of disclosure placement. Failure or refusal to cooperate with a reasonable information request is an independent basis for suspension of participation, withholding of commissions, termination from the Affiliate Program, and forfeiture of pending commissions.

Amendment

Brick LLC reserves the right to update and change these Terms and Conditions from time to time without notice. Continued participation in the program after such changes shall constitute your consent to such changes.

Agreement 

By participating in the Brick LLC Affiliate Marketing Program, you agree to abide by these Terms and Conditions. You understand that violation of any terms may result in one or more of the following remedies at Brick LLC’s discretion: suspension of your participation, termination of your participation, deactivation of your referral links and codes, forfeiture of any accrued or unpaid commissions, clawback or offset of previously paid commissions, and any other remedies available to Brick LLC at law or in equity.

Miscellaneous

A. Independent Contractor. Affiliates participate in the Brick LLC Affiliate Program as independent contractors. Nothing in these Terms creates or implies any employment, partnership, joint venture, franchise, or agency relationship between Brick LLC and any affiliate. Affiliates have no authority to bind Brick LLC to any obligation.

B. No Assignment. Affiliates may not assign, transfer, or delegate any rights or obligations under these Terms without Brick LLC's prior written consent. Any purported assignment without such consent is void. Brick LLC may assign these Terms or any of its rights hereunder without restriction.

C. No Waiver. Brick LLC's failure to enforce any provision of these Terms on any occasion does not constitute a waiver of its right to enforce that provision or any other provision in the future.

D. Severability. If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it will be severed, and the remaining provisions will continue in full force and effect.

E. Governing Law and Venue. These Terms and Conditions and any dispute arising out of or relating to the Affiliate Program or these Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles. Any legal action or proceeding arising under or in connection with these Terms will be brought exclusively in the state or federal courts located in Chicago, Illinois, and each party irrevocably consents to the personal jurisdiction and venue of such courts.
